Our capital markets practice provides legal advice on large and complex debt and equity transactions including public offerings, rights issues, private placements, Islamic bonds, government and corporate bonds, and derivatives.

We advise on all aspects of a capital markets transactions including:

• advising on the legal requirements for the prospectus and the issuer’s obligations and responsibilities under the Capital Markets Law and Regulations issued by the Capital Market Authority;
• taking primary responsibility for assisting the issuer with the preparation of the prospectus and working closely with the reporting accountants in reviewing, revising and finalizing the prospectus;
• reviewing the engagement letters between the issuer and the auditors accountants (before it is signed) and any comfort letters to be given by the auditors;
• commenting on press releases and other public communications of the issuer in relation to the transaction;
• participating in drafting sessions;
• participating in due diligence meetings with senior management of the issuer as well as reviewing certain material documents provided to us by the issuer;
• advising on the relevant legal restrictions on securities marketing and publicity and recommended procedures;
• commenting on any lock‑up agreements;
• providing a legal opinion subject to the satisfactory completion by us of all necessary due diligence and internal procedures; and
• advising generally as necessary in connection with the issue or placement.

The scope of our practice combined with the depth of our understanding of the regulations of the Capital market Authority and the Muscat Securities Markets means that we are uniquely placed to advice on capital markets transactions. Likewise, we are well placed to offer advice on hybrid securities and derivatives for corporations seeking to broaden their capital base using novel structures.
